Form INC-22 is required to:
- Declare the registered office address of a company during incorporation (within 30 days of registration, if not declared in SPICe+).
- Change the address of the registered office (within the same city, or from one city/state to another).
🕒 When is INC-22 Required?
- Initial declaration of registered office (if not done at the time of incorporation).
- Shifting of registered office:
- Within the same city/town/village.
- From one city to another within the same state and ROC jurisdiction.
- From one ROC to another (in different states) — with Regional Director approval.
📋 Documents Required for INC-22
Depending on whether it’s an initial registration or a change of address, the following documents are typically needed:
For Owned Premises:
- Ownership document (sale deed or property papers).
- Utility bill (Electricity, Gas, Water, or Telephone) — not older than 2 months.
- NOC from owner (if the company director is not the owner).
For Rented Premises:
- Rent Agreement.
- Utility bill of the premises.
- NOC from the landlord.
For Shifting Office:
- Board resolution approving the change.
- Special resolution (if changing city/state).
- Advertisement and ROC/Regional Director approvals (if applicable).
